Medical technology company GE HealthCare (Nasdaq:GEHC) announced on Monday that it has agreed to acquire SOFIE Biosciences from Trilantic North America for USD945m in cash, expanding its US radiopharmaceutical manufacturing footprint.
The transaction is expected to close in the first half of 2027, subject to regulatory approvals and other closing conditions, after which SOFIE will become part of GE HealthCare's Pharmaceutical Diagnostics segment.
SOFIE operates a US network of 15 contract manufacturing organisation sites with 21 cyclotrons, as well as a theranostics-focused contract development and manufacturing site. This acquisition is intended to strengthen GE HealthCare's role in the time-critical "final mile" of PET radiopharmaceutical supply and expand its exposure to high-growth areas beyond its existing portfolio.
The deal also provides GE HealthCare with US rights to FAPI-74, a Phase III F18 PET radiotracer with potential applications across multiple cancer indications. GE HealthCare already holds rights to FAPI-74 outside the United States.
Following the closing, SOFIE will continue operating as an independent manufacturing partner and supply its existing portfolio, including products from other radiopharmaceutical providers.
GE HealthCare expects the acquisition to be accretive to revenue growth, Adjusted EBIT margin and Adjusted EPS in the first full year of ownership.
