Agilent Technologies Inc (NYSE: A), a provider of analytical and clinical laboratory technologies, announced on Wednesday that it has completed its acquisition of digital-pathology software provider Proscia for USD240m in cash, with a further USD30m potentially payable subject to future performance milestones.
Proscia will join Agilent's Life Sciences and Diagnostics Markets Group.
The acquisition combines Agilent's pathology instruments and reagents with Proscia's digital-pathology platform, which has FDA 510(k) clearance for primary diagnosis. It expands Agilent's capabilities in clinical diagnostics, biopharmaceutical research and drug discovery, while adding recurring software revenue and AI-enabled tools to support precision medicine and companion-diagnostics development.
