Personalis Inc (Nasdaq: PSNL), a provider of advanced genomics for precision oncology, announced on Monday that it has agreed to be acquired by technology firm Tempus AI Inc (NASDAQ: TEM) in a transaction valued at approximately USD1.5bn, expanding Tempus' capabilities in molecular residual disease (MRD) and strengthening its AI-enabled precision oncology platform.

Under the agreement, Personalis shareholders will receive USD16.25 per share, representing a 6% premium to the previous closing price and a 28% premium to the unaffected 30-day volume-weighted average price. The consideration will be structured as a stock transaction, with Tempus retaining the option to fund up to 50% of the payment in cash.

This acquisition builds on the companies' partnership established in November 2023 and combines Tempus' multimodal data platform and artificial intelligence capabilities with Personalis' NeXT Personal MRD technology. Tempus said the deal will expand its presence across the cancer care continuum, from diagnosis and treatment selection to recurrence monitoring.

The transaction is expected to close in late 2026 or early 2027, subject to shareholder and regulatory approvals. Personalis also reported preliminary second-quarter revenue of USD22.4m and delivered 10,384 clinical tests during the period, a 33% increase from the previous quarter.
